core technology news (text/Li Taihong), Taiwan's leading passive components manufacturer Guoju announced on the 12th that it has reached a final agreement with the US Ki-Mei Company. The company will acquire all the issued and circulated common shares of Ki-Mei for cash in cash, with a total transaction amount of approximately US$1.64 billion.
Guoju said that there are five main strategies for acquiring Jimei. The first is to increase the product portfolio and expand the service to provide customers with sufficient purchase of electronic components at one time; the second is to expand the company's business scale and market visibility in the United States and Europe; the third is to give full play to the comprehensive effect of Jimei's acquisition of TOKIN, so that Guoju can successfully enter the high-spec-oriented Japanese market; the fourth is to continuously strengthen the company's complete layout in automotive electronics, industrial specifications and 5G niche markets; the fifth is to further expand Jimei's operating scale through Guoju's deep layout and sales channels in Greater China and Southeast Asian markets.
Guoju said that both parties will become the leading manufacturers of the passive components industry. According to the financial report figures released by Guoju and Jimei in the past 12 months, the planned merger revenue between the two parties will reach US$3 billion. This transaction is expected to be completed in the second half of 2020 after the preparations of both parties are improved and approved by the competent authority.
