1. Provide information truthfully
Partners must ensure that all materials provided to Huawei company are true, legal and valid; if the materials involve third-party confidential information, the partner guarantees that they have obtained the authorization of the third party. The partners must also ensure that all information they provide to Huawei, including but not limited to orders, sales reports, special offer applications, rebates, payment applications, and changes to important company matters, are true, accurate and complete.
2. Prohibiting income fraud
Prohibiting partners from assisting Huawei employees in confirming false income, confirming income in advance, deliberately delaying the recognition of income, etc. through false projects, inflated customer needs, Yin-Yang contracts, and providing false acceptance forms. Partners are prohibited from forging Huawei's seals and official documents through any form.
3. Legal acquisition and use of competitive information
Partners should not obtain and use other people's trade secrets or other confidential information by any means that illegally or violates business ethics, including but not limited to collecting or receiving confidential information from customers, competitor employees or other parties in an inappropriate way.
4. Cooperate with Huawei Audit
Partners shall not conceal any information that may affect Huawei's interests. In order to ensure that partners strictly abide by this Code of Conduct, partners need to cooperate with Huawei's audit.
5. Channel policies and supply paths comply with
. Within the scope permitted by local laws, partners should strictly abide by Huawei's channel policies, including but not limited to channel management, channel incentives, supply paths and other policies and regulations, and agree with Huawei's unilateral formulation and final interpretation of the above policies and regulations.
6. It is prohibited to override the promise of
partners shall not override the rights to the end user or any third party for unauthorized matters. At the same time, if the partner finds that any Huawei employees have made override promises to them privately, they shall directly refuse and report to Huawei.
Any losses caused by the partner's over-authorization commitment or failure to refuse Huawei employees' privately over-authorization commitment shall be borne independently by the partner; if the losses caused to Huawei, the partner and Huawei employees who over-authorization commitment shall compensate Huawei.
In order to effectively eliminate overreach of commitments, partners should know and accept that Huawei will not fulfill any terms other than the agreement/order content signed by the parties.
During the project bidding process, even if Huawei promises to bear joint and several liability to the authorized partners in the manufacturer's authorization letter, Huawei only assumes product liability for the products it provides as agreed with the partners, and all other responsibilities shall be borne by the partners.
7. It is prohibited to slander
partners should adhere to the principle of honest business operations and should not slander or slander Huawei's goodwill, and at the same time, they should not slander or slander the goodwill of competitors. Partners are prohibited from making erroneous or misleading representations about competitors or their products or services.
8. Bribery of Huawei employees is prohibited from
partners shall not bribe or transfer improper benefits to Huawei employees in order to try to obtain improper benefits, maintain cooperation with Huawei companies, etc., including but not limited to cash, securities and payment certificates, etc. It is also prohibited to give Huawei employees inappropriate business etiquette or gifts, including but not limited to valuable items, high-value cultural gifts, tourism, high-standard reception, etc. When judging whether a commercial etiquette or gift is appropriate, consider whether it will cause embarrassment to the parties if the etiquette or gift is known to the public other than the parties.
This article also applies to family members and relatives of Huawei employees.
9. Prohibited associations
partners are not allowed to allow employees of Huawei and their families to participate in stakes. If Huawei employees or their major relatives are working for partners, or serve as employees, consultants, directors, executives or shareholders, etc., the partners shall report to Huawei in a timely manner.
If the partner has a legal relationship with the shareholders, directors, general managers, other key decision-makers or relatives of the above-mentioned persons, the partner should avoid it in the projects involving the customer in Huawei Company.
10. Intellectual property and confidential information
Partners should respect Huawei's intellectual property rights. At the same time, confidential information obtained during normal transactions with Huawei shall not be disclosed without permission.
