Public information shows that NIO's investment in Greenwing is divided into two parts: First, NIO will pay 12 million Australian dollars (approximately RMB 55.3563 million) to subscribe to approximately 21.8182 million shares of Greenwing shares, with the subscription price of 0.55 Australian dollars per share (allotment).After the subscription is completed, NIO will hold about 12.16% of Greenwing's equity and occupy a seat on the company's board of directors; second, NIO will also obtain some call options, and the exercise price of option is expected to be between 40 million and 80 million US dollars (approximately RMB 289 million and 578 million).
NIO's investment in Greenwing is to accelerate the development of the San Jorge lithium project in Argentina and give priority to becoming a customer of the project. According to the subscription agreement signed by both parties, Greenwing will issue a detailed manual on the San Jorge lithium project to NIO, which can exercise options within one year. Based on the highest price of exercising options, NIO's investment in Greenwing will exceed 600 million yuan. At least 80% of the proceeds from the Greenwing placement will be used for the San Jorge lithium project. If NIO exercises the subscription option, the proceeds will also be used for outstanding options payments for the San Jorge lithium project.
